Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Couply, LLC, a New York limited liability company ("Company," "we," "us," or "our"), governing your access to and use of the Couply website, mobile application, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. The Service is intended for use by individuals in committed romantic relationships. We do not provide professional mental health, medical, or legal advice.

3. Description of Service

Couply is a relationship wellness platform that provides tools, insights, and guidance to help couples stay aligned, communicate better, and grow together. The Service includes, but is not limited to: personalized tips and coaching, date planning, chore management, gift suggestions, courses and educational content, check-ins, and messaging features between partners. Content provided through the Service is for informational and educational purposes only and does not constitute professional advice.

4. Account Registration and Security

You may register for an account using a third-party authentication provider (e.g., Google). You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any laws
• Harass, abuse, threaten, or harm others, including your partner
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use the Service to distribute spam, malware, or other harmful content
• Scrape, copy, or harvest data from the Service without our written permission
• Use the Service in any way that could damage, disable, or impair the Service

We reserve the right to investigate violations and to cooperate with law enforcement. We may remove content and suspend or terminate accounts at our sole discretion.

6. User Content

You retain ownership of content you submit to the Service ("User Content"), including messages, preferences, and other data. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and display such content solely to provide and improve the Service. You represent that you have the right to submit User Content and that it does not violate any third-party rights or applicable laws.

We do not claim ownership of your User Content. We may retain copies as necessary for the operation of the Service, backup, and legal compliance.

7. Intellectual Property

The Service, including its design, features, content (other than User Content), and our name, logo, and trademarks, are owned by Couply, LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

8. Third-Party Services

The Service may integrate with third-party services (e.g., Google for authentication and calendar). Your use of such services is subject to their respective terms and privacy policies. We are not responsible for third-party services or their practices.

9. Paid Plans, Billing, Refunds, and Cancellation

We may offer paid plans or subscriptions for certain features. Pricing, billing frequency, and plan details will be presented at checkout. Taxes may apply based on your location.

By purchasing a paid plan, you authorize us and our payment processor to charge your payment method. Monthly subscriptions automatically renew each month unless you cancel before the end of the current billing period. You can cancel at any time through your account settings or by contacting support; cancellation stops future charges and your access will continue until the end of the then-current billing period.

Fees are non-refundable except as required by law or as otherwise stated at the time of purchase. If we issue a refund, it will be processed back to the original payment method. We may change pricing for future billing periods with reasonable advance notice.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL MENTAL HEALTH, MEDICAL, OR LEGAL ADVICE. IF YOU OR YOUR PARTNER ARE EXPERIENCING A CRISIS, PLEASE SEEK APPROPRIATE PROFESSIONAL HELP.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Couply, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Couply, LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (including disclaimers, limitation of liability, and indemnification) shall survive termination.

14. Governing Law and Disputes

These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction therein.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Service.
